Experience in handling highly complex transactions aimed at the acquisition or sale of shares and/or assets of companies, including transactions combined with mergers, spin-offs and all types of corporate reorganisations. Management and participation in due diligence processes carried out in connection with the purchase or sale of companies.
The experience includes the design of the most convenient and efficient corporate and tax structures for the transaction, as well as the negotiation and execution of the different contracts involved, such as preliminary purchase or sale agreements (MOU and LOI), purchase and sale agreements, shareholder agreements, escrow account agreements, confidentiality agreements, spin-off and merger projects, financing agreements, guarantees, among others.
He also specialises in advising on the development of real estate projects for the construction of flat or office buildings, club buildings, shopping centres and, in general, all types of real estate projects, including specialisation in the analysis of the legal situation of real estate, the drafting and negotiation of contracts to acquire rights to real estate, as well as advice on the drafting and negotiation of construction and construction management contracts.
Lawyer graduated from the University of Lima with a Master's degree in Business Law.
